Terms of Service

The rules of using Qolab — rights and responsibilities as a creator, brand, or agency. Drafted to comply with India's Consumer Protection (E-Commerce) Rules 2020, IT (Intermediary Guidelines) Rules 2021, and the DPDP Act 2023.

1. Acceptance of these terms

These Terms of Service (the “Terms”) form a binding agreement between you and Cheqtech Solutions Private Limited (CIN U62013KA2025PTC211387, “Qolab”, “we”, “us”), the operator of the Qolab platform at qolab.in. By creating an account, joining the waitlist, or using any feature of Qolab, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, Refund Policy, and Cookies Policy.

If you're using Qolab on behalf of a company, agency, or other legal entity, you represent that you have the authority to bind that entity to these Terms. “You” means both you personally and the entity.

2. About Qolab

Qolab is an online marketplace that helps Indian Instagram creators, brands, and agencies discover one another, price collaborations fairly using real engagement data, book deals under escrow protection, and build verified reputation.

3. Qolab is a marketplace intermediary

Qolab is an e-commerce marketplace entity under the Consumer Protection (E-Commerce) Rules, 2020, and an intermediary under the Information Technology Act, 2000 and IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We provide the technology that connects creators, brands, and agencies — we do not make, sell, or own the creative content or campaigns that pass through the platform. Responsibility for content, deliverables, and campaign outcomes lies with the parties to each booking.

When you view a creator on Qolab before booking, we display the creator's Qolab handle, content categories, languages, and city. Upon booking confirmation, we additionally display the creator's registered business name (where applicable) and a customer-care contact channel (in-platform chat, plus our ops email hello@qolab.in).

4. Eligibility

  • You must be at least 18 years old.
  • You must have the legal capacity to enter into binding contracts under the Indian Contract Act, 1872.
  • You must be based in India, or represent an entity based in India, to transact on the platform. Cross-border brand usage rights are addressed in Section 9.
  • If you register as a creator, your connected Instagram account must be a Business or Creator account, and you must own it or have documented authorisation to manage it.
  • If you register as a brand or agency, you must provide accurate company details and have authority to commission creator work on behalf of that business.

5. Your account

5.1 Creating an account

You need an account to use most Qolab features. You must provide accurate information and keep it updated. You're responsible for maintaining the confidentiality of your account credentials and for all activity on your account.

5.2 Accurate information

Deliberately false information — fake name, stolen Instagram handle, misrepresented company — is a material breach of these Terms and grounds for immediate suspension without refund of any non-refundable fees paid.

5.3 One role per account

Each account is registered as a creator, brand, or agency. The same person may hold multiple accounts for genuinely different purposes (e.g., a creator who also represents a brand), but each account must reflect its own real-world entity and purpose.

6. Platform services

6.1 For creators

Connect your Instagram Business or Creator account and we sync your engagement + audience data via Meta's Graph API. We compute a suggested fair-pay rate from that data. You appear in Qolab's discovery for brands / agencies matching your niche, language, and city.

6.2 For brands

Discover verified creators using filters (category, language, city, engagement, budget). Send booking requests, exchange briefs, approve deliverables, and pay securely through Razorpay Route escrow. GST-compliant invoices generated automatically.

6.3 For agencies

List your entire creator roster on Qolab free of charge. When a brand books one of your creators, you receive the full creator rate plus applicable GST — Qolab's platform fee comes from the brand separately. Your internal agency–creator commission split remains private.

7. Pricing & fees

How fees flow, end to end

Example: our engine prices a creator's reel at ₹10,000. The brand is billed ₹11,000 + applicable GST (creator rate × 1.10). Qolab retains ₹1,000 (the 10% platform fee) + GST on that fee. The creator (or their agency) receives ₹10,000 + applicable GST in full.

Creators
0% platform fee. You keep 100% of the creator rate agreed in your booking. No listing fee, no subscription, no exit fee.
Brands
10% platform fee applied on top of the creator rate on every successfully completed booking, plus GST (currently 18%) on that platform fee.
Agencies
0% platform fee to list your roster. When you act as the buyer (running campaigns on behalf of brand clients), the standard 10% platform fee applies on top of the creator rate. Your agency–creator commission split is internal and confidential.
GST treatment
Qolab charges GST on its platform fee and remits it to the tax authorities. The creator / agency receives the full creator rate; they are responsible for GST filings on that creator rate (if applicable to their turnover).

All Qolab-initiated charges appear transparently in the booking summary before the brand confirms payment. We will not add hidden fees, listing fees, subscriptions, or processing markups without updating these Terms and giving active users at least 30 days' notice.

8. Payments & escrow

8.1 Escrow via Razorpay Route

Qolab uses Razorpay Routeas the regulated Payment Aggregator for all on-platform payments, operating under RBI's Payment Aggregator licence. When a brand confirms a booking, the booking amount is collected and held in Razorpay escrow. Funds release to the creator / agency only after the brand approves the delivered content, or after our dispute resolution concludes.

8.2 Payout timing

On brand approval of a completed booking, we initiate payout within 1 working day. Bank settlement takes another 1–2 working days depending on the creator's or agency's bank.

8.3 Invoicing

A GST-compliant invoice is generated automatically for every completed booking, available in your dashboard. Invoices display both parties' names, GST numbers where applicable, and the CIN of Cheqtech Solutions Private Limited.

9. Content & IP rights

9.1 Creator ownership (default)

As a creator, you retain ownership of the creative work you produce. Posted Instagram content remains on Instagram under Instagram's terms; Qolab only processes metadata about it.

9.2 Brand usage rights (default, unless booking specifies otherwise)

When a brand books you and approves your deliverables, you grant the brand a non-exclusive, royalty-free licence to use that specific content with the following default parameters. These defaults can be overridden in the booking brief; whatever appears in the brief at booking time controls.

Permitted uses
Re-sharing on the brand's own social channels (Instagram, Facebook, LinkedIn, X, YouTube), embedding on the brand's website, and use in paid social ads (whitelisting) provided the campaign respects ASCI guidelines and the creator's name / handle is credited.
Duration
12 months from the date the brand approves the deliverable. After 12 months the brand must cease use or negotiate an extension with the creator.
Territory
India by default. Global usage requires the booking brief to explicitly state 'global rights' and to price for that scope.
Modifications allowed
Cropping, resizing, colour / contrast grading for aspect-ratio fit, adding the brand's logo or campaign tagline, and adding captions in other languages.
Modifications NOT allowed
Material re-editing that changes the meaning of the original content; morphing the creator's face or voice (including synthetic / AI-generated alterations); combining with third-party content in a way that suggests an endorsement the creator didn't give; using the creator's likeness in unrelated campaigns.
Whitelisting for paid ads
Paid-ad usage on the creator's own handle (whitelisting) must be explicitly agreed in the booking brief and typically incurs an additional fee negotiated between brand and creator.

9.3 Platform licence to Qolab

You grant Qolab a limited, non-exclusive, royalty-free licence to display your public profile information, samples of your work, and analytics for the purpose of operating the marketplace — discovery, matching, and display of deliverables. This licence ends when you delete your account, except where we must retain records for legal reasons (GST, income-tax, regulatory inquiry).

9.4 ASCI compliance (creator obligations)

Every sponsored post must be clearly labelled per India's Advertising Standards Council (ASCI) Influencer Guidelines — #ad, #sponsored, or Instagram's “Paid partnership” tag. Failure to label sponsored content correctly is a material breach and can result in account suspension.

10. Prohibited conduct

You agree NOT to:

  • Impersonate another person, brand, or Instagram account you don't control.
  • Manipulate engagement metrics through engagement pods, paid likes, bot followers, or similar tactics.
  • Circumvent Qolab's escrow, messaging, or pricing by conducting the same transaction off-platform. See Non-circumvention.
  • Harass, threaten, or discriminate against any other user.
  • Use Qolab to distribute illegal, obscene, or defamatory content, or to promote regulated goods (alcohol, tobacco, gambling) in violation of Indian advertising law.
  • Attempt to reverse-engineer, scrape, or misuse the Qolab platform or our APIs.
  • Initiate payment chargebacks after approving delivered content (see Section 8 and our Refund Policy).

11. Anti-discrimination

Qolab is a platform for every real Indian creator, brand, and agency — regardless of religion, caste, gender, gender identity, sexual orientation, disability, region, or language. Users may not refuse bookings, disparage counterparties, or make platform decisions on any of these grounds.

Brands that refuse to engage verified creators on discriminatory grounds, and creators / agencies that refuse brands on those grounds, both breach these Terms and may be suspended. Brief-level preferences (e.g., “we're looking for a Tamil-speaking fitness creator in Chennai”) are targeting criteria, not discrimination, and are permitted.

12. Non-circumvention

Qolab connects you with brands / creators / agencies you likely would not have met otherwise. In return, you agree that for 12 months after any bona-fide interaction on the platform (a booking request, message, accepted deal, or completed collaboration) with another user you encountered via Qolab, any subsequent paid collaboration with that user will be conducted on the Qolab platform.

What triggers this clause (evidence)

We consider any of the following as sufficient proof of a bona-fide Qolab-originated interaction:

  • An accepted booking between the two parties, recorded in our database.
  • An exchange of 2+ messages in our in-platform chat with clear intent to collaborate (e.g., specific deliverables, rates, or dates discussed).
  • A booking request created by one party and viewed by the other, whether or not it resulted in acceptance.

12.1 Remedy on breach

Breach of this clause entitles Qolab to recover:

  • The platform fee that would have been payable on the circumvented transaction (10% of the creator rate the parties transacted at, or 10% of a reasonable market estimate if the parties refuse to disclose the actual amount);
  • Plus reasonable costs of recovery, capped at 20% of the platform fee recovered, or ₹10,000, whichever is greater (no open-ended bills).

Amounts recoverable under this clause are liquidated damages and not a penalty.

12.2 What is NOT circumvention

Ordinary social / professional continuation of the relationship that does not involve new paid work is fine:

  • A creator making non-paid content that mentions a brand they once collaborated with.
  • A brand inviting a creator to a non-paid industry event.
  • Genuine employment — a brand hiring a creator as a full-time employee (disclosure to Qolab appreciated).

12.3 Enforceability

This clause is drafted as a reasonable, time-bound, industry-standard non-solicitation that protects a legitimate business interest (platform economics) and does not prevent you from using any other marketplace or from doing any other trade. It is severable — if any court finds a specific part unenforceable under Section 27 of the Indian Contract Act, 1872, the remaining provisions continue in force.

13. Disputes

13.1 Booking disputes

If a brand rejects a delivery as materially non-compliant with the agreed brief, either party can flag the booking as disputed from the dashboard. Every flagged dispute is issued a ticket ID (format: QD-xxxx) for tracking.

Our Operations team reviews the brief, the chat history, and the delivered content, and issues a resolution typically within 5 working days, up to a maximum of 15 working days for complex cases. We notify both parties of any extension.

  • Full release of payment to the creator / agency (delivery acceptable).
  • Partial release (some deliverables acceptable, others not).
  • Content revision with a revised deadline.
  • Full refund to the brand (delivery failed materially or wasn't provided).

13.2 Creative quality disputes

If delivered content technically matches the brief but is materially below industry quality standards (e.g., blurry footage where the brief specified high-res), we review case-by-case and may issue a partial refund at our reasonable discretion.

13.3 Our resolution is binding (first pass)

Both parties accept Qolab's dispute resolution as the binding first-pass process, subject to the governing-law and arbitration provisions in Section 17.

14. Suspension & termination

We may suspend or terminate your account immediately if we determine you have materially breached these Terms — including fake identity, manipulated metrics, circumvention, discrimination, or payment fraud. Where possible, we notify you with reasons and a chance to respond.

You may close your account any time from your dashboard or by emailing us. See the Data Deletion page for what happens to your data.

On termination: in-flight bookings still apply (escrow releases on approval or dispute outcome); platform fee is retained on completed bookings; any unsettled creator / agency payout is paid out to the registered bank account.

15. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control — including but not limited to: Meta / Instagram API outages or policy changes, Razorpay / RBI regulatory action, internet / cloud provider outages, cyber-attacks, natural disasters, pandemics, strikes, war, and governmental action. During a force-majeure event:

  • In-flight bookings freeze; escrow continues to hold funds safely.
  • We notify all active users via email and on the platform within 24 hours of the event becoming known to us.
  • If the event persists for more than 30 consecutive days and makes performance of an in-flight booking impossible, either party may cancel the affected booking with a full refund to the brand.

16. Disclaimers & limitation of liability

Qolab provides the platform on an “as is” basis. We do not guarantee that every booking will succeed, that a particular creator will deliver a specific business outcome, or that Meta's Graph API will always be available. Analytics we display are sourced from Meta and reflect the data Meta provides at the time of sync.

To the maximum extent permitted by Indian law, Qolab's aggregate liability for any claim arising out of or connected to your use of the platform is limited to the greater of (a) ₹1,00,000 or (b) 2× the total platform fees you paid to Qolab in the 12 months preceding the claim. This cap does not apply to liability that cannot be limited under mandatory Indian law (e.g., fraud, gross negligence, death, personal injury).

We are not liable for indirect, incidental, or consequential losses — lost profits, loss of business reputation, loss of opportunity, or similar.

17. Governing law & dispute resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India.

Any dispute arising out of or in connection with these Terms that cannot be resolved through Qolab's internal dispute process (Section 13) shall be finally settled by binding arbitration conducted in English in Bengaluru, Karnataka, before a sole arbitrator appointed by mutual agreement (and, failing agreement, appointed under the Arbitration and Conciliation Act, 1996). The courts of Bengaluru, Karnataka shall have exclusive jurisdiction for any matter requiring judicial intervention (e.g., interim relief).

18. Changes to these terms

We may update these Terms. For material changes, we'll email active users at least 30 days before the new Terms take effect and update the “Last updated” date at the top. Continued use of the platform after that date constitutes acceptance of the updated Terms.

19. Contact / Officers

Per Consumer Protection (E-Commerce) Rules, 2020 and IT (Intermediary Guidelines) Rules, 2021, we've appointed named officers. As a stage-zero startup, the same person currently holds all three roles (permitted under those Rules) — we'll separate them as we scale.
